Enterprise Terms of Service

These Terms of Service ("Terms") govern the access to and use of AI solutions, software platforms, autonomous agents, and professional engineering services provided by Adople AI ("Adople", "we", "our", or "us").

1. Acceptance of Terms

By accessing our website, subscribing to our services, or signing an Enterprise Order Form / Statement of Work (SOW), you agree to be bound by these Terms and our Privacy Policy. If you represent an organization, you represent and warrant that you possess the authority to bind that entity.

2. Scope of Services & Autonomous AI Agents

Adople AI delivers customized AI systems, agentic workflow automations, API integrations, and continuous support. You are responsible for ensuring that inputs provided to our AI agents adhere to applicable industry regulations and do not violate third-party rights.

3. Intellectual Property & Customer Ownership

  • Customer Data & Outputs: As between the parties, you retain all rights, title, and interest in and to your confidential data, workflow inputs, and generated business outputs.
  • Adople Platform & Core IP: Adople retains all rights, title, and interest in its proprietary agent framework, orchestration engines, connectors, pre-built tooling, and general knowledge base.
  • Custom Deliverables: Deliverables created specifically under custom enterprise SOWs are transferred or licensed according to the applicable written agreement.

4. Service Level Agreements (SLA) & Support

Enterprise tier customers benefit from guaranteed uptime SLAs (typically 99.9%), dedicated incident escalation channels, and proactive monitoring as delineated in their respective enterprise agreements.

5. Acceptable Use Policy

You agree not to use Adople AI services to:

  • Engage in unlawful, harmful, deceptive, or fraudulent activities.
  • Attempt to reverse-engineer, decompile, or extract proprietary weights or algorithms from the platform.
  • Bypass multi-tenant barriers, rate limits, or security controls.

6. Limitation of Liability & Governing Law

To the maximum extent permitted by applicable law, Adople AI shall not be liable for indirect, incidental, or consequential damages. These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
